Acting for Banks

Our specialist Real Estate Finance lawyers are an innovative team of experts with many years of experience.

The Real Estate Finance team have recently been appointed to the legal panels for Santander Corporate Banking, The Co-operative Bank Plc and Unity Trust Bank Plc.

Our skilled Real Estate Finance team undertakes work for these clients in both, sector specific lending in the specialist fields of housing association finance and health care finance, and general commercial property finance transactions.

 

Recent examples include:

  • Multiple instructions from the Co-operative Bank plc to Housing Associations in Wales, including £5m and £10m facilities.
  • Instructions from Unity Trust Bank plc to Housing Associations and commercial clients including facilities of a value up to £5m.
  • Multiple instructions from the health care team at the Royal Bank of Scotland including full property due diligence in the recent acquisition by Castalia of several nursing homes.
  • Multiple instructions from the Property Finance team at the Royal Bank of Scotland including acting as lead partner in finance of the construction of a new hotel in Gwent and
  • Perfection of security over the funding of an aircraft hangar.

  • Clydesdale Bank - numerous property finance transactions emanating from the Cardiff, and London offices.
  • Bank of Scotland Corporate - numerous property finance transactions emanating from the Cardiff office.
  • Svenska Handelsbanken in relation to a number of high value property instructions including a £5.1 million facility to a Spanish manufacturing company, acquiring commercial premises in Cardiff

Acting for Borrowers

The Real Estate Finance team are also specialists in acting for borrowers when they are taking facilities secured against property, having recently acted for numerous Housing Associations and other commercial borrowers in facilities in excess of £550m over the past two years:

  • Acting for various Welsh Housing Associations in all aspects of the perfection of corporate and property security, and the preparation of certificates of title, including most recently           £55 million, £45 million and £30 million loan facilities.  
  • US private equity firm AIAC on a number of transactions including its acquisition of Bemrose Booth, a leading provider of security and transactional print services.
  • In 2008 Hugh James became one of only two firms appointed as panel members of the Welsh Government’s Corporate Finance arm.

  • Finance Wales, for whom we carry out instructions, deal with negotiation and drafting of loan documents, taking security and acting on priority agreements.
