Hugh James advises on corporate sale of care operator to local provider


Lawyers from our Corporate and Commercial team have acted on the sale of shares in Middlepatch Limited, a care provider running College Fields Nursing home in Barry providing end of life care for 68 residents.

The Shareholders of Middlepatch Limited, Mike and Rachel Kemp had operated College Fields since they first acquired the Grade II listed building in the 1980s. After 33 years of dedicated service, they have sold to experienced operators, Jacob and Beena George, who run a number of nursing homes in the area.

Lawyers from the Hugh James Corporate and Commercial property team, led by Partner Greg Williams and Senior Associate James Guile, provided advice to the couple throughout the sale process.

Commenting on Hugh James’s involvement, seller Mike Kemp said today:

“This company transaction was complex and at the end of it I felt I could not have been better represented. They dealt with issues that I would not have dreamt needed attending to and were prompt in dealing with challenges as they arose. As important to me was that Greg Williams and his colleagues kept me informed of progress as appropriate. We were well served and reassured that we were protected for the future. Would I use Hugh James again for a complex company transaction? The answer is a resounding ‘YES’”.
