Jon is a consultant within the Corporate and Commercial team and has over 30 years' experience advising and leading on corporate and commercial matters, including numerous substantial and complex transactions.
Jon’s areas of expertise include company and business acquisitions and disposals, venture capital and other equity investments, loan finance facilities, joint ventures, management buy-outs/buy-ins, shareholder agreements, corporate restructurings and reorganisations, general corporate and commercial advice and a wide range of commercial agreements.
Jon has a wealth of experience within the hospitality and leisure sector having advised Celtic Manor Resort for many years on a wide range of transactions including its host venue agreement with Ryder Cup Europe LLP for the 2010 Ryder Cup, its host venue agreement for the 2014 Nato Summit and its acquisitions of the hotel now known as the Coldra Court Hotel, Newport and the Newbridge on Usk boutique hotel. Jon also advised on its recent acquisition, the hotel now known as Tŷ Hotel (formerly the Hampton by Hilton, Newport East), located just off the M4 at Magor Services. Jon also advised Celtic Manor Resort on its joint venture with the Welsh Government in respect of the new £83.7m International Convention Centre Wales (ICC Wales).
Jon also has a vast amount of experience in venture capital financing transactions having for over 20 years acted for Celtic House and Wesley Clover on their seed and development capital investments in UK-based technology companies operating in the telecommunications sector, including spin-outs from the Alacrity Foundation Graduate Entrepreneurship Programme, a Wesley Clover initiative in collaboration with the Welsh Government and others.
Jon has advised on dozens of company and business sales, acquisitions and bank and other financing transactions.
Jon has also acted for Cardiff Airport for many years and has advised it on a number of commercial agreements and other matters.
Jon qualified in 1984 with Morgan Bruce & Nicholas (now Blake Morgan LLP) and upon qualification joined Phillips & Buck (now Eversheds Sutherland).
In 2001 Jon and three of his fellow Cardiff-based Partners effected a management-buy-out of the Cardiff office of Bevan Ashford and established and became the founding partners of MLM which from 2007 until 2016 practised as MLM Cartwright. Jon became a partner at Hugh James following the firm's merger with MLM Cartwright in 2016 and on retirement as a partner became a consultant in 2019
